Please read these terms carefully before using our website. These terms govern the relationship between you and us regarding the use of our website.

1. General Provisions:

1.1. These Terms of Use govern the legal relationship between the owner of the website www.fmaestonia.com (hereinafter referred to as fmaestonia.com), FMA Estonia OÜ (Registration Code 16957616), and the User, arising from the use of the fmaestonia.com platform.

1.2. Terms and Definitions Used in the Terms of Use:

1.2.1. fmaestonia.com:

Fmaestonia.com is a virtual self-service platform owned by FMA Estonia OÜ, located at the internet address www.fmaestonia.com. It can be used by the User to submit requests for accounting and/or business consulting services, compare offers, select the winning offer, make offers to those seeking accounting and/or business consulting services, communicate with other Users, and utilize other available services.

1.2.2. User:

A User is a natural or legal person who has submitted an request for accounting and/or business consulting services (Client) to the fmaestonia.com platform or a legal entity that makes offers for accounting and/or business consulting services to the Client on fmaestonia.com, and who has a fmaestonia.com User Account (Service Provider).

1.2.3. User Account:

A User Account is the username and password of a Service Provider registered as a user on fmaestonia.com. The User Account is created for a legal entity, and the following information is required for registration: company name, company registration code, VAT number (if applicable), address, contact phone number, and email address. Through the User Account, the User can present their company, specify the services offered, and set preferences for the requests notifications sent by fmaestonia.com.

1.2.4. Request:

A Request is a consolidated form of price inquiry created based on the Client's wishes and conditions, to which all Service Providers can submit offers for accounting and/or business consulting services under their own specified terms.

1.2.5. Offer:

An Offer is a price proposal entered by the Service Provider in response to the Client's Request. The terms of the Offer are determined by the Service Provider.

1.2.6. Winner of the Request:

The Winner of the Request is the Service Provider selected by the Client as the winner of the offer.

1.3. In addition to the Terms of Use, the legal relationship between the User and FMA Estonia OÜ is governed by the laws of the Republic of Estonia, the principles of personal data processing, the price list for using the fmaestonia.com platform, more specific terms and conditions related to requests, the Service Providers' own terms and policies, and established best practices.

Fmaestonia.com Content of the Service

2.1. Content of the Service:

The service provided by FMA Estonia OÜ consists of granting the User rights within the virtual self-service environment fmaestonia.com for making requests about accounting and/or business consulting services, selecting the winner of offers, making offers for accounting and/or business consulting services to the requester, communicating with each other, and using other services offered.

2.2. The User confirms that they are aware that the fmaestonia.com platform is a virtual self-service environment, and that FMA Estonia OÜ does not provide accounting and/or business consulting services. FMA Estonia OÜ does not act on behalf of the User and is not authorized by the User. The User confirms that they are aware that all declarations of intent and contracts made within the fmaestonia.com platform, including the terms and conditions of service usage and privacy policies of the Service Providers, are concluded between the Users themselves and are responsible for their proper fulfillment. The request maker, offer maker, and request winner must comply with the provisions of the Law of Obligations Act and the Money Laundering and Terrorist Financing Prevention Act in their mutual legal relationship.

Rights and Obligations of FMA Estonia OÜ:

3.1. FMA Estonia OÜ has the right to:

3.1.1. Decline to publish a Request or an Offer submitted to the fmaestonia.com platform if it violates these Terms of Use, the law, or good morals;

3.1.2. Review information submitted by the User at its discretion to verify compliance with the Terms of Use, the law, and good morals;

3.1.3. Block the User and prohibit use of the platform if the User violates the law, Terms of Use, or data processing principles, or otherwise hinders the execution or success of a Request;

3.1.4. Require identity verification when creating a User account and process personal data according to the terms and conditions set forth in the law, Terms of Use, and data processing principles;

3.1.5. Refuse to provide services to a User who does not meet the anti-money laundering risk assessment policy for FMA Estonia OÜ or, at FMA Estonia OÜ’s discretion, does not fit the user profile for other reasons;

3.1.6. Charge the Service Provider a fee for using the platform according to the chosen plan, and upon Client payment, retain a 7.5% (seven point five percent) service fee from the winning offer amount;

3.1.7. Temporarily suspend the use of services without prior notice or liability to the Service Provider if they fail to pay the applicable plan fee on time;

3.1.8. Demand 7.5% (seven point five percent) of the Request amount from the User if it is discovered that the User contacted the other party directly to avoid platform fees or to gain other direct benefits;

3.1.9. Request feedback from the Client on the Service Provider's work and display the Client's rating on the fmaestonia.com platform on the Service Provider’s profile using a 5-star system;

3.1.10. Block the User and prohibit use of the platform if the Service Provider refuses to serve a Client without valid reason;

3.1.11. Refuse payments originating from restricted jurisdictions:

3.2. FMA Estonia OÜ is obligated to:

3.2.1. disclose the contact details (company/person name and email address) of the Client who made the Request to the Request winner immediately after the Client's payment is received;

3.2.2. pay the requested fee to the Service Provider for the won Request within five business days of the payment being received, deducting a service fee of 7.5 (seven point five) percent retained by FMA Estonia OÜ;

3.2.3. refund the payment to the Client within three business days if the Service Provider who won the Request has not contacted the Client within two business days of winning the Request;

3.2.4. monitor the functionality of the fmaestonia.com platform and ensure that Users treat each other respectfully when using the platform;

3.2.5. enable the User to contact customer support via email at info@fmaestonia.com;

3.2.6. promptly notify the Client if it becomes clear that the Service Provider who made or won the offer for the Request is unable to serve the Client.

User Rights and Obligations:

4.1. Confirm that the data and information provided by the User are accurate, truthful, and comply with the Terms of Use and applicable laws;

4.2. Refrain from disseminating false information, insulting or defaming others, or behaving inappropriately on the fmaestonia.com platform;

4.3. Not to submit fake Requests or make fraudulent Offers on the fmaestonia.com platform.

4.4. Confirm that the personal data provided during registration as a User of fmaestonia.com are truthful and that contact details are valid;

4.5. Confirm that the User has the right to submit Requests and/or Offers on behalf of the legal entity represented in the provided information;

4.6. Keep the fmaestonia.com password and username secure to prevent access by third parties and immediately notify FMA Estonia OÜ via customer support at info@fmaestonia.com if these credentials are compromised;

4.7. Notify FMA Estonia OÜ immediately via customer support at info@fmaestonia.com if it becomes evident that a User has contacted another party directly to gain benefits or avoid platform fees;

4.8. Confirm that FMA Estonia OÜ has the right to publish the User’s Requests on other platforms to improve service offerings;

4.9. Pay the monthly package fee to FMA Estonia OÜ within three days of the invoice issuance date;

4.10. Contact the Client whose Offer has been accepted within two business days of winning the Offer;

4.11. Notify FMA Estonia OÜ via customer support at info@fmaestonia.com within three business days of the announcement of the winning Offer if the winning Service Provider has not contacted the Client;

4.12. Notify FMA Estonia OÜ via customer support at info@fmaestonia.com within three business days of the announcement of the winning Offer if the winning Service Provider is unable to serve the Client for any reason;

4.13. Receive payment for the Offer, minus FMA Estonia OÜ’s service fee (7.5% of the transaction value), to the billing account specified in the User account within five business days of winning the Offer;

4.14. Request the removal of a negative comment or rating for valid reasons by submitting a complaint to FMA Estonia OÜ’s customer support at info@fmaestonia.com;

4.15. Pay a 2.5% service fee of the Offer amount to FMA Estonia OÜ if the User fails to contact the Client within two business days of winning the Offer or refuses to serve the Client without a valid reason.

Liability:

5.1. FMA Estonia OÜ assumes no liability for any damages incurred by the User, particularly if the damages arise from circumstances beyond FMA Estonia OÜ's control, including but not limited to the User's internet connection or other technical failures, removal or modification of User information, incorrect information provided by Users, or non-compliance with the law by Users.

5.2. The User is solely and fully responsible for the accuracy and truthfulness of the data and information they provide, ensuring compliance with the Terms of Use and applicable laws, avoiding misuse of the platform's intended purposes, and any damages caused to the User and/or any third party as a result of the User's violation of the law or these Terms of Use.

Validity of Terms of Use:

6.1. The Terms of Use are effective from the moment the User accesses the fmaestonia.com platform for any purpose and remain valid indefinitely.

6.2. FMA Estonia OÜ reserves the right to amend the Terms of Use without prior notice. Changes to the Terms of Use, service prices, or other updates take effect upon their publication on the fmaestonia.com platform.

6.3. If the User does not agree with the changes to the Terms of Use or pricing, they are not entitled to use the fmaestonia.com platform, and FMA Estonia OÜ may restrict services.

Personal Data and Its Processing:

7.1. The User grants FMA Estonia OÜ consent to process personal data in accordance with applicable Estonian law and FMA Estonia OÜ’s data processing principles. By agreeing to the Terms of Use, the User confirms that they have reviewed and accepted the data processing principles.

Final Provisions:

8.1. The User and FMA Estonia OÜ will attempt to resolve any disputes through negotiations. If no agreement is reached, disputes will be resolved in accordance with applicable laws.

8.2. The Terms of Use take effect upon their acceptance by the User.

8.3. By agreeing to the Terms of Use and using the platform, the User confirms that they have carefully read, understood, and agree to comply with the Terms of Use as binding.
